Baltimore Orioles Birdland Membership (“Season Ticket Holder”) Agreement

This Baltimore Orioles Birdland Membership (“Season Ticket”) Agreement (the “Agreement”) is entered into between the purchaser of “Baltimore Orioles” regular season tickets (each, a “Member”) and the Baltimore Orioles Limited Partnership (the “Club”). By purchasing Baltimore Orioles regular season ticket(s) (a “Birdland Membership” or “Season Tickets”), and in consideration of the promises and mutual covenants herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by the parties, the parties agree as follows:

  1. Each Ticket to a Baltimore Orioles baseball game (“Ticket”) is a limited, revocable license (the “Revocable License”) granted by the Club to attend Baltimore Orioles baseball games at Oriole Park at Camden Yards or any other venue in which the Baltimore Orioles “home” games may be played (collectively, the “Ballpark”) listed on the applicable Ticket. The “Account” is the Revocable License for Tickets granted by this Agreement to a Member to purchase the number of Tickets specified on the Ticket sale invoice provided to the Member (whether electronically or otherwise) by the Club (the “Invoice”) for the price set forth on the Invoice. Each Member using a Ticket purchased pursuant to this Agreement (a “Ticket Holder”). Notwithstanding any other provision of this Agreement, the Member acknowledges and agrees that the Revocable License for all Tickets held within an Account as well as the Account itself may be terminated by the Club at any time with or without cause in the sole discretion of the Club. The Clubs reserves the right to set a limit on how many Tickets a Member may purchase and further reserves the right to modify or change all terms and conditions set forth in this Agreement.
  2. The Club reserves the right to amend or supplement the terms and conditions contained in this Agreement by providing either (i) written notice to Member or (ii) posting such revisions or amendments to the terms and conditions on orioles.com when adopted by the Club. It is the responsibility of each Member to read and comply with all information. The Club is not responsible for problems, losses or inconveniences experienced because a Member did not read information regarding the Account or this Agreement, or because the information was mailed to a former or incorrect physical or e-mail address.
  3. To be eligible for Membership, your account with the Club must be in good standing. To be eligible for an individual Membership, you must be at least eighteen (18) years of age. You must either be paid in full or enrolled in an authorized Auto-renewal Payment Plan by the stated payment deadline to activate your Membership. Birdland Memberships are non-refundable. Children using Member benefits (e.g., attending events) must at all times be accompanied by their parent or legal guardian who is a Member or otherwise in possession of appropriate credentials (e.g., a valid game Ticket).
  4. The specific benefits available to you as a Member will be defined by the type and level of Membership you purchased. The benefits and conditions of Membership are subject to change at any time for any reason at the sole discretion of the Club. Certain Accounts may be eligible to receive benefits, experiences and/or discounts (“Benefits”), in addition to their Tickets. Such Benefits may include, without limitation, renewal pricing, ticket exchange options, pre-sale priority, discounts to the Ballpark concession stands and merchandise locations, upgrade activities, and other additional Benefits as may be determined by the Club. Eligibility for Benefits may vary depending on, among other things, a Member’s seating location, Membership type, number of Tickets purchased per game, Membership Account status and Membership tenure. Determinations about Benefits and the Accounts that qualify for such Benefits are at the sole discretion of the Club. Benefits and/or membership rights may be modified, revoked or terminated by the Club, as to an Account, at any time and for any reason, without compensation or damages of any kind. Broker Accounts are not eligible for Benefits or membership privileges.
  5. Except to the extent expressly set forth in these Terms or otherwise expressly permitted by the Club in its sole discretion, Member benefits are non-transferable, whether by operation of law or otherwise. If a Member attempts to sell, barter or transfer Member benefits (other than Baltimore Orioles Tickets, which are subject to the transfer restrictions below) without prior written permission from the Club, the Club reserves the right to terminate Membership and all related benefits.
  6. All Member benefits are subject to change and availability. Discounts, ticket pricing, Birdland Rewards benefits, parking availability and discounts, may be subject to exclusions and limitations which will be communicated to Members by the Club. The Club is under no obligation to add replacement events and benefits.
  7. The Club reserves the right to suspend or cancel a Membership or withhold renewal for any reason, including non-compliance with policies set forth by the Club or offensive, objectionable, or inappropriate behavior of the Members of record or their guests.
  8. Members are not entitled to entry to Baltimore Orioles games at Oriole Park at Camden Yards except where a Ticket to the applicable games has also been purchased. In addition, games, events, and other activities are subject to cancellation, postponement, or rescheduling due to act of God, or the public enemy, pandemic, endemic, fire, weather, flood, storm, earthquake, riot, war or war operations, actions, orders, or mandates by governmental entities, rescheduling by Major League Baseball, or other causes beyond the control of the Club. The Club is not responsible for refunding all or any portion of your Membership fees or providing any other compensation as a result of such cancellation, postponement, or rescheduling.
  9. Tickets shall not be resold or offered for resale in a manner or at a price (i) in violation of any existing law, policy or regulation, or (ii) contrary to the rules and regulations of this Agreement. Any Member found engaging in excessive or otherwise inappropriate resale of their Tickets, as determined by the Orioles in their discretion considering all the facts and circumstances, may have their seat privileges revoked, as evaluated and determined in the Orioles’ sole discretion. Resale activity will be checked before 2025 postseason seats are available and at the end of the 2025 regular season. Without limiting the foregoing, the following factors will be relevant in deciding whether excessive or otherwise inappropriate resale for the 2025 season may be deemed to exist, and whether an account should go under review:
  • Resale activity above [50]% of a Member’s Season Ticket allotment or any single seat within your plan above [50]%. This applies to all Season Tickets and parking plans.
  • Resale at markups, particularly when undertaken on a repeated basis, or in violation of any applicable laws on resale of tickets.
  • Additional single game Tickets and parking purchased for the purpose of reselling: If three (3) or more games of additional single game Tickets or parking are resold, your account will go under review. If five (5) or more games of additional single game Tickets or parking are resold, 2025 Postseason and 2026 seat privileges will be revoked.
  • Group Tickets, specialty Ticket packages, or parking purchased for the purpose of reselling: If more than 10% of any group Tickets, specialty Ticket packages, and/or parking purchased are resold, 2025 Postseason and 2026 regular season seat privileges will be revoked.
  • Transferring Tickets to friends, family, and business partners does not count against your resale percentage. However, if transferred Tickets are resold by the recipient, your resale percentage will be directly impacted.
  • Additional game Tickets and parking that are procured through the ticket exchange program should not be resold. Violation of the Birdland Member Ticket Exchange Program may result in seat privileges being revoked. Information about the Birdland Member Ticket Exchange Program can be found at https://www.mlb.com/orioles/tickets/season-tickets/guide.

For the avoidance of doubt, the Orioles will make the final determination if resale or other activity is determined to be excessive or otherwise inappropriate.

  1. It is your responsibility to notify the Club of any change in your e-mail address, mailing address, or phone number by contacting your Account Representative at 410-547-6161, or by emailing [email protected]. If your e-mail service includes functionality or software that catalogues your e-mails in an automated manner, it is your responsibility to ensure that those e-mails we send to you reach your inbox, either by routinely monitoring your bulk, junk, and/or spam e-mail folders or by adding us to your address book or safe senders list. Any personal information that you provide to the Club through your online account will be governed by the privacy policy at orioles.com.
  2. USE OF YOUR MEMBERSHIP AND ANY OF ITS ASSOCIATED BENEFITS IS AT YOUR SOLE RISK. THE MEMBERSHIP BENEFITS, INCLUDING, BUT NOT LIMITED TO, ANY PRODUCTS OR SERVICES PROVIDED BY THIRD PARTIES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE CLUB EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  3. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMBER HEREBY RELEASES, WAIVES AND HOLDS HARMLESS THE CLUB AND ITS PARTNERS, AFFILIATES, AND SUBSIDIARIES (INCLUDING SUCCESSORS AND ASSIGNS), THE MLB ENTITIES (DEFINED BELOW), AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS AND AGENTS, FROM AND AGAINST ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM THE MEMBERSHIP PROGRAM OR ANY PRODUCTS, SERVICES, MERCHANDISE, FOOD OR OTHER ITEMS RECEIVED IN CONNECTION WITH THE MEMBERSHIP. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, OR CONSEQUENTIAL. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
  4. For purposes of this Agreement, the "MLB Entities" shall mean the Office of the Commissioner of Baseball, Major League Baseball Properties, Inc., MLB Advanced Media, L.P., MLB Advanced Media, Inc., MLB Media Holdings, L.P., MLB Online Services, Inc., The MLB Network, LLC, MLB Network Holdings, LLC, Tickets.com and/or any of their respective present or future affiliates, assigns or successors (including without limitation any entity which, now or in the future, controls, is controlled by, or is under common control with Major League Baseball or the Office of the Commissioner of Baseball). (individually, an “MLB Entity”, and collectively, the “MLB Entities”).
  5. Members do not have any ownership rights in accrued Membership benefits and accrued Membership benefits do not constitute property of the Member. Membership benefits are not negotiable, commissionable, or redeemable for cash and are void if sold for cash or other consideration.
  6. Absent express, written consent from the Club, the Account and Tickets obtained by a Member shall not be used for advertising, promotion (including contests and sweepstakes), or other trade or commercial purposes.
  7. If a court of law holds any provision of these Terms to be illegal, invalid, or unenforceable: (a) that provision shall be enforced to the maximum extent possible, and (b) the legality, validity, and enforceability of the remaining provisions of the Terms shall not be affected. These Terms are governed by the laws of the State of Maryland, without regard to its choice of law principles.
